Case Study: Insurance Broker Buy-and-Build and Shareholder Exit

A regional insurance broker was transformed through acquisition-led growth, stronger management and professionalisation, culminating in a successful shareholder exit.

The situation

A regional insurance broker wanted to create a larger, more professionally managed business capable of operating independently of its founding shareholders and attracting a suitable strategic purchaser.

The organisation had grown through acquisitions, but further scale required stronger leadership, greater management capacity and a more consistent operating model.

The assignment

An Interim Managing Director was appointed from 2009 to 2011 to lead the company’s growth, professionalise the organisation and prepare it for a shareholder exit.

The approach

A capable management team was developed, with clearer responsibilities, stronger accountability and improved governance. This allowed the shareholders to step back from day-to-day management without slowing the development of the business.

An ambitious buy-and-build programme was also led, involving approximately 20 acquisitions of smaller insurance brokers and portfolios. Each opportunity required commercial and financial evaluation, negotiation and integration into the expanding organisation.

The programme increased the company’s geographic reach, strengthened its client base and created greater operational scale. At the same time, the business retained the local relationships and quality of service on which its reputation had been built.

The company was also led through the process of achieving Chartered Insurance Brokers status from the Chartered Insurance Institute, placing it among a relatively small group of brokers recognised for their professional and ethical standards.

Once the business had been strengthened, the shareholders and management team were prepared for buyer scrutiny and the company was taken through the exit process.

The results

  • Gross written premium increased from £22 million to £31 million
  • Commission income increased from £2.6 million to £5.1 million
  • The organisation grew to approximately 70 employees
  • Around 20 acquisitions were led and integrated
  • A management team was established that enabled the shareholders to step back
  • Chartered Insurance Brokers status was achieved
  • An 80% controlling interest was successfully sold to a major insurance consolidator
  • The management team retained the remaining 20%

The value delivered

The assignment transformed an owner-dependent regional broker into a larger, professionally managed and investable organisation. Growth, management succession and professionalisation were brought together as one exit-readiness programme, culminating in a successful shareholder transaction.
